Chapter 5 - The board does not suspend me

The emergency board meeting began at nine.

Vivian appeared by video from a hotel conference room.

I joined from company headquarters.

Independent counsel attended.

So did Helen Ward.

The first thing independent director Charles Wynn said:

“No one is being suspended today based on a birthday-party video we have not authenticated.”

Vivian’s face remained composed.

“I’m not asking for a conclusion.”

Her board memo said otherwise.

She argued:

I had confronted a minor aggressively.

I had searched her handbag? Wrong story. No.

I had shouted publicly.

I had “threatened” her after the cake incident.

What threat?

She quoted me:

“If you used Madeline to provoke me—”

Then stopped.

Because I had never finished the sentence.

Vivian characterized my tone as intimidating.

Possible.

Tone is subjective.

Then she said several guests were alarmed by my “explosive response.”

I had shouted:

“Why is my daughter being bullied at her own party?”

And later:

“Who told Madeline to do this?”

No physical violence.

No property damage.

No threat.

That was the problem with her plan.

I did not give her what she expected.

Then Noah’s memory card.

Independent counsel requested original media.

We preserved it.

No editing.

No social posting.

No board theatrics.

Then Vivian’s signal.

She said:

“I was telling Madeline to step away from Isla.”

Madeline’s statement contradicted that.

But a child’s statement required careful handling.

Then her pre-party email to Helen.

Why ask about physical altercation?

“Risk planning.”

Why schedule Charles?

“I had concerns Everett’s behavior at the party might become inappropriate.”

Before the party?

“Yes.”

“Based on what?”

“His temper.”

Charles asked:

“Did you expect an incident?”

“I expected tension.”

“Did you do anything to create it?”

“No.”

There.

The board ordered:

No suspension of me.

No expansion of Vivian’s authority.

Independent investigation into:

Party manipulation.

Potential misuse of corporate governance mechanisms.

Communications with investors before the incident.

Any attempt to influence Marwick transaction based on manufactured conduct risk.

Then one practical measure:

I voluntarily recused myself from directing that investigation.

Vivian was temporarily removed from the investigation chain but remained Chief Brand Officer.

No one was fired.

Yet.

Then lender.

Marwick financing bank learned an internal governance review was underway.

Would they walk?

No.

They requested weekly status updates and confirmation neither CEO nor major officer was under criminal investigation.

True.

No criminal investigation then.

Transaction stayed alive.

Vivian’s plan had created uncertainty.
