Meridian formally rejected North Elm’s offer.
Court approved rejection.
Reasons:
Undisclosed related-party ownership.
Below-market price.
Conflicts.
Incomplete maintenance assumptions.
No credible need for urgent sale.
North Elm threatened suit for reliance costs.
Problem:
No signed purchase agreement.
Only letter of intent expressly nonbinding.
No sale damages.
It withdrew.
Harold lost his investment opportunity.
Carla lost future management deal.
Lily’s trust lost nothing from sale because it never closed.
That was important.
We stopped a bad transaction before the asset moved.
Then independent appraisal updated:
$2.31 million after minor repairs.
Trust decided:
Keep property for now.
Not forever.
For now.
Because Lily lived there.
Because operating costs manageable.
Because property remained aligned with trust purpose.
No sentimental decree that house could never be sold.
